As a company responsible for social infrastructure in transportation, GO aims for sustainable growth by continuing to create new customer value under our mission, "Happiness through Mobility."
To meet the expectations of all stakeholders—including users, business partners, shareholders, and local communities—and to build long-term relationships of trust,we recognize the strengthening of our corporate governance structure as a top priority and are working to enhance and fulfill it.
Specifically, we focus on balancing prompt and flexible decision-making by the Board of Directors with thorough supervision of business execution. We believe it is crucial to maintain an effective internal control system and an appropriate risk management structure, while strengthening compliance and enhancing our auditing framework.
Overview of Corporate Governance Structure
To concentrate authority and responsibility for business execution in the Board of Directors and strengthen the supervisory function over executive officers, we have chosen to be a "Company with an Audit and Supervisory Committee."

Board of Directors
Our Board of Directors is composed of five directors, three of whom are outside directors.
Each outside director possesses a high level of expertise. Under this balanced structure, the board meets monthly (plus extraordinary sessions as needed) to determine basic business policies.
By supervising the execution of duties by each director, we maintain a system that ensures proper and efficient business execution.
As advisory bodies to the Board, we have established a Nomination and Remuneration Committee and a Special Committee, where outside directors serve as chairpersons and constitute a majority of the members.

The committee consists of one full-time and two part-time directors serving as audit and supervisory committee members; all are outside directors and independent officers.

Basic Philosophy
We believe compliance is an essential requirement for our corporate activities.
It means more than just following laws, internal regulations, codified rules, and general social norms, every employee adheres to our Values and meets the reasonable expectations and requests of stakeholders like customers and shareholders, practicing sincere and appropriate behavior as both a professional and a member of society.
We are strengthening our compliance structure by establishing a "Risk and Compliance Committee", to foster a compliance culture where compliance is naturally realized within our business activities without needing special conscious effort.
Initiatives for Thorough Compliance
Company-wide Awareness Surveys
We conduct annual fixed-point surveys to objectively grasp the actual status of compliance within the company, and analyze the results to identify issues, consider countermeasures, and reflect them in future action plans.
Compliance Education
To ensure that employees acquire compliance knowledge and raise their compliance awareness, we conduct regular educational training sessions via in-person meetings and e-learning programs for new hires, newly appointed managers, and all personnel.
Furthermore, for compliance areas where judgment can be easily obscured, we have established a knowledge base with clear, accessible explanations, providing a means for employees to review them at any time.
Key Initiatives for Compliance Month
To ensure that employees feel a personal connection to compliance and to further enhance overall awareness, we have designated an annual "Compliance Awareness Month." During this period, we implement various initiatives in which all employees can actively participate.
Internal Whistleblowing System
We have established a whistleblowing hotline to report legal violations, compliance breaches, harassment, or any potential risks of such behaviors. The purpose of this system is to establish procedures for reporting and consulting on compliance violations and ensuring their appropriate handling, thereby contributing to compliance-first management through the early detection, correction, and resolution of such acts.
To facilitate this, we have set up two separate channels: an internal hotline and an external third-party hotline. Our current employees, former employees, and business partners can utilize these channels through various methods, including email and online forms, with the option to remain anonymous.
